The short version
This summary is for convenience only. The full terms below are what legally apply.
- Your email stays yours. We use your mailbox data only to run Inboxy for you. We don’t sell it, show you ads, or use it to train AI models.
- You are in control of what is sent. Inboxy writes drafts and suggestions, but nothing leaves your account until you press send — and you are responsible for what you send.
- AI can be wrong. Labels, summaries, phishing warnings and drafts are aids, not guarantees, and are not professional advice. Review them.
- Use it fairly. No spam, fraud, abuse or attacks on anyone’s systems, including ours. See the Acceptable Use Policy.
- Inboxy is currently free. If we introduce paid plans, you’ll see the price and terms before you buy.
- You can leave at any time. Export your data, then delete your account from Settings → Security; your encrypted data is destroyed.
- UAE law applies. Disputes go to the courts of Dubai, after we first try to resolve them informally. Mandatory consumer protections where you live still apply.
1. Agreement and who we are
Inboxy is operated by [Nexlla Creative Agency — registered legal name], a [Legal form] trading as Nexlla Creative Agency, registered under licence number [Trade licence number] issued by [Licence issuing authority], with its address at [Registered address — street, building, city, Emirate, United Arab Emirates] (“we”, “us” or “our”). In these terms, “you” means the person who uses Inboxy and, where section 3 applies, the organisation on whose behalf that person uses it.
These Terms of Service, together with the documents they refer to — our Acceptable Use Policy, our Privacy Policy and, for business customers who have signed it, our Data Processing Addendum — form a binding agreement between you and us (together, the “Terms”). If there is a conflict, a signed written agreement with us takes priority, then the Data Processing Addendum (for matters of personal data processing), then these Terms of Service, then the other policies.
You accept the Terms when you create an Inboxy account, tick a box or click a button indicating acceptance, or use any part of the service. If you do not agree, do not use Inboxy. If you are accepting on behalf of an organisation, section 3 explains what that means.
2. Definitions
In these Terms, the following words have these meanings:
- “Inboxy” or the “service” — the Inboxy software and services we provide, including the web app (including the installable progressive web app), the macOS and Windows desktop apps, the iPhone and Android apps, the Inboxy Slack app, the Inboxy Telegram bot, our servers and APIs, and the website at https://inboxy.nexlla.com.
- “Apps” — the client software we make available for you to install or run, including through the Apple App Store, Google Play, our website or other distribution channels.
- “Account” — your Inboxy account, including its sign-in methods, settings and paired devices.
- “Connected account” — an email, calendar or other third-party account that you connect to Inboxy, such as a Gmail, Microsoft 365, iCloud, Yahoo, Fastmail, Proton Mail (via Proton Mail Bridge) or other IMAP/SMTP mailbox.
- “Mailbox data” — email messages, attachments, headers, contacts, calendar events and other data that Inboxy retrieves from your connected accounts.
- “Your content” — mailbox data together with everything else you create or provide in Inboxy, such as drafts, rules, labels, signatures, personas, voice-profile settings, profile photos and preferences.
- “AI features” — features that use automated analysis or machine learning models, including auto-labels, priority, summaries, phishing detection, Inbox Zero plans, reply drafts and calendar suggestions.
- “Output” — anything the AI features produce for you, such as a draft, summary, label, warning or suggestion.
- “Third-party service” — any product or service not provided by us, including the services listed in section 9.
- “Preview features” — features we identify as preview or experimental, as described in section 12.
- “Consumer” — an individual using Inboxy wholly or mainly for purposes outside their trade, business, craft or profession.
Headings are for convenience only. Words such as “including” and “for example” are illustrative and do not limit the general words before them.
3. Eligibility
Age and capacity
You must be at least 16 years old, or the minimum age of digital consent in the country where you live if that is higher, and you must have the legal capacity to enter into a binding contract. Inboxy is not directed at children and you must not create an account for a child.
Restrictions
You may not use Inboxy if we have previously terminated your account for a breach of the Terms (unless we agree otherwise in writing), or if you are prohibited from receiving the service under the laws of the United Arab Emirates or any other applicable jurisdiction, including the sanctions laws described in section 20.
Using Inboxy for an organisation
If you use Inboxy on behalf of a company, employer or other organisation — for example by connecting a work mailbox — you confirm that you are authorised to accept these Terms on its behalf and that the organisation permits you to connect that mailbox to a third-party application. In that case, “you” includes the organisation, and the organisation is responsible for your use of Inboxy. If you are not authorised, you must not connect the organisation’s accounts. Your organisation’s administrator may also restrict or revoke Inboxy’s access to its accounts through the provider’s own controls (for example, Google Workspace or Microsoft Entra ID admin settings).
4. Your account and security
- Accurate information. Give us accurate and complete registration information and keep it up to date, particularly your email address, which we use for security notices.
- One person per account. Your account is personal to you. Do not share your sign-in credentials or let anyone else use your account. Organisations should have each user create their own account.
- Keep your sign-in methods secure. You are responsible for keeping your password, passkeys, authenticator app, two-factor recovery codes and paired devices secure. We strongly recommend enabling two-factor authentication or a passkey, and storing your recovery codes safely. Recovery codes are single-use and we cannot recreate them for you.
- Paired devices. Pairing codes and QR codes are short-lived and single-use. Pair only devices you control, and remove devices you no longer use from Settings.
- Activity on your account. You are responsible for activity that happens through your account unless it results from our failure to take reasonable security measures.
- Tell us about a problem. If you suspect unauthorised access to your account, change your password, revoke unknown devices and sessions, and contact us promptly at [email protected].
- Security protections. To protect accounts we may require re-authentication for sensitive actions, temporarily lock sign-in after repeated failures, end sessions, revoke a device whose credentials appear to have been reused, or ask you to verify your identity. These measures are part of the service and are not a breach of these Terms.
We describe our security measures on our Security page. No system is perfectly secure, and we cannot guarantee that unauthorised access will never occur, but we work to protect your account using industry-standard measures, including encryption of your content at rest and in transit.
5. The service and your licence to use the apps
What Inboxy does
Inboxy brings your email accounts into one inbox and helps you manage them — for example with automatic labels and priorities, phishing warnings, reply tracking, reply drafts in your writing style, Inbox Zero plans, bulk unsubscribe, calendar free-slot suggestions, signatures, personas, search, push notifications and syncing your setup across your devices. The features available to you may vary by platform, provider and region.
Your licence
Subject to your compliance with the Terms, we grant you a limited, personal, revocable, non-exclusive, non-transferable and non-sublicensable licence to install and use the Apps, and to access and use the service, for your own personal use or for the internal business purposes of the organisation you represent. This licence lasts until the Terms end as described in section 15.
Except as expressly permitted by these Terms or by mandatory law, you must not: copy, modify, translate or create derivative works of the Apps or the service; decompile, disassemble or reverse engineer them; rent, lease, lend, sell, sublicense, distribute or otherwise make them available to anyone else; remove or alter any proprietary notices; or use them to build a competing product. Parts of the Apps may include open-source components licensed under their own terms, which take priority for those components only.
Updates
We may release updates to the Apps, including security fixes. Some updates may be installed automatically, and older versions may stop working with the service if they are no longer secure or compatible. Please keep your Apps up to date.
App stores
If you download an App from an app store, such as the Apple App Store or Google Play, you must also comply with that store’s terms and usage rules. These Terms are between you and us only, not with the app store operator, and we — not the app store operator — are solely responsible for the App and its content, subject to the following.
Additional terms for Apple devices
If you obtained an App from the Apple App Store, the following terms also apply. They are intended to meet the minimum requirements of Apple’s Licensed Application End User License Agreement, and where these Terms say less than that standard agreement, the standard agreement’s minimum terms apply.
- Acknowledgement. These Terms are concluded between you and us only, and not with Apple Inc. (“Apple”). We, not Apple, are solely responsible for the App and its content.
- Scope of licence. Your licence to use the App is limited to a non-transferable licence to use it on any Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions, except that the App may be accessed and used by other accounts associated with you through Family Sharing or volume purchasing where available.
- Maintenance and support. We are solely responsible for providing any maintenance and support for the App, as described in these Terms or as required by applicable law. Apple has no obligation whatsoever to provide any maintenance or support services for the App.
- Warranty. We are solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. If the App fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) paid for the App. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App, and any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty are our sole responsibility, to the extent not excluded by these Terms.
- Product claims. We, not Apple, are responsible for addressing any claims by you or any third party relating to the App or your possession and use of it, including (a) product liability claims; (b) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer protection, privacy or similar legislation.
- Intellectual property rights. If any third party claims that the App or your possession and use of it infringes that third party’s intellectual property rights, we, not Apple, will be solely responsible for the investigation, defence, settlement and discharge of that claim.
- Legal compliance. You represent and warrant that (a) you are not located in a country that is subject to a United States Government embargo, or that has been designated by the United States Government as a “terrorist supporting” country; and (b) you are not listed on any United States Government list of prohibited or restricted parties.
- Developer name and address. Questions, complaints or claims about the App should be directed to [Nexlla Creative Agency — registered legal name], [Registered address — street, building, city, Emirate, United Arab Emirates], [email protected].
- Third-party terms. You must comply with applicable third-party terms of agreement when using the App, for example your mobile data provider’s terms.
- Third-party beneficiary. Apple and Apple’s subsidiaries are third-party beneficiaries of these Terms. On your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.
Additional terms for Google Play
If you obtained an App from Google Play, you acknowledge that these Terms are between you and us only, that Google is not responsible for the App, and that your use of Google Play is governed by the Google Play Terms of Service.
6. Acceptable use
You must use Inboxy lawfully and responsibly and comply with our Acceptable Use Policy, which forms part of these Terms. In summary, you must not use Inboxy to:
- send spam, bulk unsolicited messages or mail that breaks anti-spam laws;
- commit fraud or phishing, impersonate anyone, or distribute malware;
- create, store or send illegal content, or harass, threaten or abuse anyone;
- infringe anyone’s intellectual property or privacy rights;
- access mailboxes, accounts or data you are not authorised to access;
- misuse the AI features — for example to generate deceptive or harmful content, attack the service with prompt injection, or try to extract other users’ data or our system instructions;
- scrape, overload, probe or interfere with the service, evade rate limits, or reverse engineer it, except for security research carried out under our responsible disclosure rules;
- share, resell or sublicense your account or access to the service without our written permission.
You are responsible for all messages you send through Inboxy, including messages based on drafts or suggestions from the AI features, and for complying with the laws that apply to your communications, such as anti-spam, marketing, privacy and record-keeping laws.
7. Your content and mailbox data
You own your content
As between you and us, you keep all rights, title and interest in your content. We do not claim ownership of your emails, attachments, drafts, rules, signatures or any other content you create or connect.
The limited permission you give us
You grant us a worldwide, non-exclusive, royalty-free licence to access, host, store, copy, process, transmit, analyse and display your content only as necessary to provide, maintain, secure and support Inboxy for you; to carry out actions you request (such as sending a message you approved, applying a label or unsubscribing from a list); to comply with the law; and to enforce these Terms. This licence includes permission for our service providers (listed on our Subprocessors page) to process your content on our behalf for those same purposes. It ends when your content is deleted from our systems as described in section 15, except for copies that remain in encrypted backups until they rotate out.
What we will not do with it
- We do not sell your content or your personal data.
- We do not use your content for advertising, and Inboxy shows no ads.
- We do not use your content to train, fine-tune or improve AI models — ours or anyone else’s. Your voice profile is a set of statistics about your writing style (such as greetings, sign-offs and formality) used only for your own drafts.
- We do not read your content, except where you ask us to (for example, in a support request), where it is necessary for security or abuse investigations, or where the law requires it. Any such access is limited, logged and confidential.
Where Inboxy receives data from Google APIs, our use of that data follows the Google API Services User Data Policy, including its Limited Use requirements, as explained in our Privacy Policy.
Your responsibilities for content
You confirm that you have all rights and permissions needed to connect each mailbox and calendar to Inboxy and to let us process its contents as described in these Terms. This is especially important for accounts provided by an employer, school or other organisation: their policies may restrict connecting third-party apps, and it is your responsibility to check. You are also responsible for your content, including its legality, and for keeping your own copies of anything important. Inboxy works on copies of your mailbox data; your connected provider remains the primary store of your email.
Actions in your mailbox
Some features change data in your connected accounts — for example applying labels, archiving, marking as read, moving messages, unsubscribing or creating calendar events. These actions happen because you enabled the feature, created a rule or confirmed an action. Review rules and automations carefully. Automations never send email or agree to anything on the basis of AI output alone.
8. AI features
Output may be wrong
The AI features use probabilistic models. Output can be inaccurate, incomplete, out of date, inappropriate or inconsistent, and may not reflect your intentions, tone or the facts. Labels may be misapplied, important messages may be missed or deprioritised, summaries may omit key details, and phishing detection may produce false alarms or miss a real attack. Do not rely on output as the sole basis for any important decision.
You review before sending
Inboxy only writes drafts. Nothing is sent from your account without you pressing send (or confirming the equivalent action in the Slack app or Telegram bot). Before sending, you must review every draft for accuracy, tone, recipients, attachments and any commitments it contains. Once you send a message, it is your message, and you are responsible for it and for any obligations it creates. Our instructions to the AI models forbid them from agreeing to payments or sharing credentials, but you remain responsible for checking every draft.
No professional advice
Output is not legal, medical, financial, tax, investment, security or other professional advice, and Inboxy is not a substitute for a qualified professional. If a message concerns a matter where professional advice is appropriate, seek it.
Your choice of AI mode
You decide how the AI features process your content, and you can change your choice at any time in Settings:
- Cloud AI. Text is processed by a cloud AI provider (currently Anthropic’s Claude API) acting as our processor. Before text leaves our servers, Inboxy automatically redacts common personal and secret details — such as email addresses, phone numbers, payment card numbers, IBANs, government identifiers, API keys, tokens, passwords and signed links — replacing them with placeholders that are restored only after the response returns. Redaction reduces, but cannot eliminate, the personal data sent: names and other details in free text may still be included. Our provider is contractually prohibited from training its models on this data. Cloud AI is optional.
- On-device AI. Text is processed by a model running on hardware you control (for example via Ollama), and no text is sent to an AI provider. Quality and speed depend on your hardware and chosen model.
- AI off. AI processing is disabled. Template-based drafts and non-AI features continue to work, but AI-dependent features will be unavailable or limited.
Our Privacy Policy explains in more detail how AI processing handles your personal data.
Ownership of output
As between you and us, you own the output generated for you, to the extent any rights exist in it. Because of the nature of AI, similar output may be generated for other users, and we do not guarantee that output is unique or free from third-party rights.
9. Connected third-party services
Inboxy works by connecting to services run by other companies. Depending on what you choose to connect, these may include:
- Gmail, Google Workspace and Google Calendar (Google);
- Outlook, Microsoft 365, Exchange Online and Microsoft Graph (Microsoft);
- Proton Mail through the official Proton Mail Bridge running on your own device (Proton);
- iCloud Mail and iCloud Calendar (Apple), Yahoo Mail (Yahoo), Fastmail, and other IMAP, SMTP and CalDAV providers;
- Slack and Telegram, if you link the Inboxy Slack app or Telegram bot;
- Gravatar (via WordPress.com sign-in), if you choose to publish your profile photo there;
- Anthropic, if you choose Cloud AI;
- Firebase Cloud Messaging and Apple Push Notification service, for push notifications;
- the Apple App Store, Google Play and other app distribution channels.
Your use of each third-party service is governed by that provider’s own terms and privacy policy, which you are responsible for reviewing and complying with. When you connect a service, you authorise us to access it on your behalf, within the permissions you grant, to provide the features you use. You can revoke that access in Inboxy or in the provider’s security settings.
Inboxy is an independent product. We are not affiliated with, endorsed by or sponsored by Google, Microsoft, Apple, Proton, Yahoo, Fastmail, Slack, Telegram, Automattic (Gravatar) or Anthropic. Their names and marks belong to their respective owners and are used only to identify the services Inboxy connects to.
We do not control third-party services and are not responsible for their availability, security, content, policies or actions. Providers may change their APIs, permissions, pricing or policies, suspend access, or require security reviews, and such changes may limit, degrade or end Inboxy features that depend on them — sometimes without notice to us. We will make reasonable efforts to maintain compatibility, but we are not liable for features that stop working because of a third party’s decisions.
The Slack app and Telegram bot receive summaries by default, not full message bodies. Messages you choose to deliver to Slack or Telegram are stored and handled by those services under their own terms, and anyone with access to the relevant Slack workspace or Telegram chat may be able to see them.
10. Notifications and communications
Push notifications
If you enable push notifications, we send them through Firebase Cloud Messaging and, for Apple devices, the Apple Push Notification service. You choose how much detail they contain — none (a generic alert), a sender and one-line summary (the default), or full (subject and snippet). Notifications may be visible on your lock screen or to anyone who can see your device; choose the level of detail accordingly. Notifications may be delayed or not delivered, so do not rely on them for time-critical matters.
Service communications
We will send you messages that are necessary to provide the service, such as account verification, password resets, security alerts, notices of changes to these Terms and important service announcements. These are part of the service and you cannot opt out of them while you have an account. We send system email through a transactional email provider ([Transactional email provider — confirm]).
Other communications
We will only send you product news or promotional messages where the law allows, and you can opt out at any time using the link in the message or in Settings.
Contacting you
You agree that we may communicate with you electronically, by email to your account address or by notices in the Apps, and that such communications satisfy any legal requirement that a communication be in writing, as further described in section 21.
11. Fees, subscriptions, trials and refunds
Inboxy is currently free
Inboxy is currently offered free of charge, without in-app purchases or advertising. We will not start charging you for features you already use without telling you in advance and giving you the choice not to pay.
If paid plans are introduced
We may introduce paid plans or features in the future. If we do, the following will apply in addition to any specific terms shown at the time of purchase:
- Prices shown before purchase. We will show you the price, billing period, included features and any other relevant terms before you buy. You will only be charged if you choose to purchase.
- Taxes. Prices will state whether they include taxes. Applicable taxes, including UAE value added tax (VAT) and similar taxes in your country, may be added. Our tax registration number, where applicable, is [Tax Registration Number (TRN), if registered].
- Auto-renewal. Subscriptions will renew automatically at the end of each billing period at the then-current price unless you cancel before the renewal date. We will tell you in advance of any price increase, and you can cancel before it takes effect.
- Cancellation. You will be able to cancel a subscription at any time; cancellation stops future renewals, and you will keep access to paid features until the end of the period you have already paid for.
- Trials. If we offer a free trial, we will tell you its length and whether it converts to a paid subscription at the end. If it does, you can cancel before the trial ends to avoid being charged.
- App-store purchases. Purchases made through the Apple App Store or Google Play are processed by Apple or Google, are subject to their terms, and must be managed and cancelled through your app-store account. Refund requests for those purchases are handled by Apple or Google under their refund policies; we cannot issue refunds for them directly.
- Refunds. Except where these Terms or the purchase terms state otherwise, fees already paid are non-refundable. This does not affect any refund or other remedy you are entitled to by law, including, for consumers in the United Arab Emirates, under UAE Federal Law No. 15 of 2020 on Consumer Protection, or under the mandatory consumer laws of the country where you live.
- Failed payments. If a payment fails, we may suspend paid features until it is resolved, after giving you a reasonable opportunity to update your payment details. Free features and your ability to export your data will not be affected.
12. Preview and experimental features
We may make some features available as “preview” or “experimental” features so that you can try them before they are generally available. Preview features are identified in the Apps. They may be incomplete, contain errors, behave unpredictably, change significantly, or be withdrawn at any time without notice. They may not be covered by our support commitments, and to the fullest extent permitted by law they are provided without any warranty. Use them at your own discretion and avoid relying on them for critical work. Preview features remain subject to these Terms, including our commitments about your content in section 7.
13. Availability, support and changes to the service
Availability
We work to keep Inboxy available and reliable, but we do not guarantee that it will be uninterrupted, timely or error-free. The service may be unavailable during maintenance, updates, incidents or events outside our control, and synchronisation with your connected accounts depends on those providers. Unless we have agreed a service level in a signed written agreement with you, we do not provide any service level commitment, uptime guarantee or service credits.
Support
We provide reasonable support by email at [email protected] and through the help resources on our website, such as the FAQ. We aim to respond promptly but do not guarantee response or resolution times unless agreed in writing. When you contact support, do not send passwords, recovery codes or other secrets.
Changes to the service
We continually develop Inboxy and may add, change or remove features, change supported platforms and providers, or set reasonable usage limits (for example on the number of connected accounts, storage or AI requests) to protect the service. If we remove or materially reduce a feature you regularly rely on, we will give you reasonable advance notice where practicable. We may also discontinue the service entirely; if we do, we will give you at least 30 days’ notice, except where that is not possible for legal or security reasons, so that you can export your data.
14. Privacy
Our Privacy Policy explains how we collect, use, share and protect personal data, including mailbox data, and how you can exercise your rights. Our Cookie Policy explains the limited, strictly necessary storage used by our website and web app. If you use Inboxy on behalf of an organisation and your organisation has entered into our Data Processing Addendum, that addendum governs our processing of personal data on its behalf. You are responsible for providing any notices to, and obtaining any consents from, other people that the law requires for us to process their personal data in your mailbox as described in these documents.
15. Termination and data deletion
You can leave at any time
You may stop using Inboxy at any time and delete your account from the Apps or on the web under Settings → Security → Delete Inboxy account. For your protection, we will ask you to re-authenticate first. If you are unable to access the Apps, contact [email protected] and we will help after verifying your identity.
What happens when you delete your account
- Export first. Deletion is permanent and cannot be undone. Before deleting, you can export your data from Settings as a JSON and mbox archive (credentials are never included). Export links expire after one hour.
- Immediate crypto-shredding. Your content is stored in a vault encrypted with a data key unique to you. When you delete your account, we destroy that key and delete your vault immediately, which makes your encrypted content permanently unreadable (“crypto-shredding”). We also delete your account record and revoke the access we hold to your connected accounts where the provider supports it.
- Backups. Copies of your data in our encrypted backups become unreadable once your key is destroyed and are deleted as backups rotate out, within 14 days.
- Limited retention. We may keep limited records where the law requires or where needed to establish, exercise or defend legal claims, prevent fraud or abuse, or enforce these Terms — for example, records of a security incident or of a termination for breach — as described in our Privacy Policy.
Deleting your Inboxy account does not delete email stored with your mail providers. Messages you have sent remain with their recipients.
Removing a connected account
If you remove a single connected mail account, you can restore it for 7 days. After that, the data we synced from it is purged and, for Google accounts, our access grant is revoked. We never remove a connected account because of synchronisation errors; we will ask you to reconnect it instead.
Suspension and termination by us
We may suspend or restrict your access to all or part of Inboxy, or terminate your account, if:
- you materially or repeatedly breach these Terms or the Acceptable Use Policy;
- we are required to do so by law, a court or a competent authority, or continuing to provide the service to you would expose us to legal liability or sanctions risk;
- your use creates a security, fraud or abuse risk to Inboxy, our users, connected providers or anyone else, including if your account appears to have been compromised;
- a third-party provider requires us to stop accessing your connected account; or
- your account has been inactive for an extended period and we have notified you in advance.
Where reasonable and lawful, we will tell you the reason in advance and give you an opportunity to fix the problem and to export your data. We may act without notice where the breach is serious, where notice would compromise an investigation or the security of others, or where the law prevents notice. If you believe we have suspended or terminated your account by mistake, contact [email protected].
Effect of termination
When the Terms end, your licence to use Inboxy ends and you must stop using the Apps. Any provisions that by their nature should continue after termination will survive, including sections 7 (as regards permitted retention), 15, 16, 17, 18, 19, 20 and 23 to 31, and any accrued rights to payment.
16. Disclaimers of warranties
We provide Inboxy with reasonable skill and care. However, to the fullest extent permitted by applicable law, Inboxy, the Apps, the output and any preview features are provided “as is” and “as available”, and we and our suppliers and licensors disclaim all warranties, conditions and representations, whether express, implied or statutory, including implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, title, non-infringement and accuracy, and any warranties arising from course of dealing or usage of trade.
In particular, and without limiting the above, we do not warrant that: the service will be uninterrupted, secure or error-free; output, labels, summaries, priorities or phishing warnings will be accurate, complete or appropriate; every malicious or fraudulent message will be detected; every message will be synchronised, delivered or notified; unsubscribe requests will be honoured by senders; or the service will work with every provider, device or configuration. You are responsible for evaluating the output and for maintaining your own backups of important data.
Your statutory rights: some jurisdictions do not allow the exclusion of certain warranties or conditions. Nothing in these Terms excludes or limits any warranty, guarantee or right that cannot be excluded or limited under applicable law, including mandatory consumer protection law.
17. Limitation of liability
Excluded losses
To the fullest extent permitted by applicable law, neither we nor our affiliates, officers, employees, agents, suppliers or licensors will be liable to you for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, business, goodwill, anticipated savings or data (other than our obligation to restore data from backups where we caused its loss), or for business interruption, arising out of or in connection with the Terms or the service, however caused and whether in contract, tort (including negligence), breach of statutory duty or otherwise, even if we were advised of the possibility of such loss.
Without limiting the above, we are not liable for: messages you send or decide not to send, including drafts you approved; decisions you make on the basis of output; actions taken by rules or automations you configured; messages missed, misclassified or delayed; the acts or omissions of third-party services or their changes to their services; or unauthorised access to your account resulting from your failure to keep your sign-in methods secure.
Cap on liability
To the fullest extent permitted by applicable law, our total aggregate liability arising out of or in connection with the Terms and the service, for all claims of any kind, is limited to the greater of (a) the total amounts you paid us for the service in the 12 months before the event giving rise to the first claim, and (b) USD 100.
Where these limits do not apply
Nothing in the Terms excludes or limits any liability that cannot be excluded or limited by applicable law, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for gross negligence or wilful misconduct where the law does not permit limitation, or under mandatory consumer protection law. Where the law of your country does not allow a particular exclusion or limitation, it applies to you only to the extent permitted.
The limits in this section reflect the allocation of risk between us and you, which is reflected in the fact that Inboxy is currently provided free of charge, and they apply even if any limited remedy fails of its essential purpose.
18. Indemnity
To the extent permitted by applicable law, you will defend, indemnify and hold harmless us and our affiliates, officers, employees and agents from and against any third-party claims, and related losses, damages, liabilities, fines, costs and expenses (including reasonable legal fees), arising out of or relating to: (a) your content, including your connection of a mailbox you were not authorised to connect; (b) messages you send through Inboxy; (c) your breach of the Terms or the Acceptable Use Policy; or (d) your violation of any law or of any third party’s rights.
We will notify you promptly of any claim for which we seek indemnity, allow you to control its defence (except that you may not settle any claim that imposes an obligation on us without our written consent), and provide reasonable cooperation at your expense. We may participate with counsel of our own choice at our own cost.
If you are a consumer, this section applies only to the extent the loss is caused by your breach of the Terms or your unlawful conduct, and only to the extent permitted by the mandatory laws of the country where you live.
19. Intellectual property, trademarks and feedback
Our rights
Inboxy, the Apps, our website and all related software, designs, text, graphics, models, prompts, documentation and other materials (excluding your content and third-party materials) are owned by us or our licensors and are protected by intellectual property laws. Except for the limited licence in section 5, the Terms do not grant you any right, title or interest in them. All rights not expressly granted are reserved.
Trademarks
“Inboxy”, “Nexlla Creative Agency” and our logos and product names are our trademarks or trade names. You may not use them without our prior written permission, except to refer accurately to Inboxy in a way that does not suggest sponsorship or endorsement. 20. Export controls and sanctions
Inboxy and the Apps may be subject to export control and economic sanctions laws, including those of the United Arab Emirates, the United Nations Security Council, the United States, the European Union and the United Kingdom. You represent and warrant that you are not (a) located in, ordinarily resident in, or organised under the laws of any country or territory that is subject to comprehensive sanctions; (b) identified on, or owned or controlled by any person identified on, any applicable sanctions or restricted-party list; or (c) otherwise prohibited from receiving the service under those laws. You must not use, export, re-export or transfer the service or the Apps in breach of those laws, including for any prohibited end use. We may suspend or terminate access immediately where necessary to comply with these laws.
21. Electronic contracting
You agree that the Terms, and any notices, consents, disclosures and other communications between you and us, may be made and accepted electronically, including by clicking a button, ticking a box or using the service. Electronic records and signatures have the same legal effect as paper documents and handwritten signatures, in accordance with UAE Federal Decree-Law No. 46 of 2021 on Electronic Transactions and Trust Services and equivalent laws elsewhere. You can save or print a copy of these Terms at any time from this page; please keep a copy for your records. You may withdraw your consent to electronic communications only by closing your account.
22. Changes to these terms
We may update the Terms from time to time — for example, to reflect changes in the service, the law or our business. We will post the updated version on this page and update the “Last updated” date.
If a change is material and adverse to you, we will notify you by email or in the Apps at least 30 days before it takes effect, and explain what is changing. We may make changes with shorter notice, or immediately, where they are required by law or are needed to address a security risk or a new feature, in which case we will tell you as soon as practicable. If you do not agree to a change, you can stop using Inboxy and delete your account before the change takes effect; if you continue to use Inboxy after it takes effect, the updated Terms will apply to you. Changes will not apply retrospectively to disputes that arose before the change.
23. Governing law and disputes
Governing law
The Terms, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or the service, are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai, without regard to conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Informal resolution first
Most concerns can be resolved quickly. Before starting any formal proceedings, you and we agree to try to resolve the dispute informally. The party raising the dispute must send written notice to the other — if to us, by email to [email protected] — describing the dispute, the relief sought and the sender’s contact details. Both parties will then negotiate in good faith for at least 30 days from the date the notice is received. This does not prevent either party from seeking urgent interim or injunctive relief, for example to protect intellectual property or the security of the service.
Courts
If the dispute is not resolved informally, it will be subject to the exclusive jurisdiction of the courts of Dubai, United Arab Emirates. Alternatively, you and we may agree in writing, at the time the dispute arises, to submit it to the courts of the Dubai International Financial Centre (DIFC).
Consumers
If you are a consumer: nothing in this section deprives you of the protection of the mandatory consumer laws of the country where you habitually reside, or of your right to bring proceedings in the courts of that country where those laws give you that right. You may also be able to contact a consumer protection authority or alternative dispute resolution body in your country.
Time limit
To the extent permitted by applicable law, any claim relating to the Terms or the service must be brought within one year after the cause of action arose, or the claim is permanently barred.
24. Severability
If any provision of the Terms is held to be invalid, illegal or unenforceable by a court or authority of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, or, if that is not possible, severed. The remaining provisions will continue in full force and effect.
25. Entire agreement
The Terms (including the documents referred to in section 1) are the entire agreement between you and us about Inboxy and replace any prior agreements, representations or understandings on the same subject. You have not relied on any statement or promise not set out in the Terms. Nothing in this section limits liability for fraud. Any terms you include in a purchase order or other document do not apply unless we expressly agree to them in writing.
26. Assignment
You may not assign, transfer or delegate your rights or obligations under the Terms without our prior written consent. We may assign or transfer the Terms, in whole or in part, to an affiliate or in connection with a merger, acquisition, reorganisation or sale of all or substantially all of the business or assets relating to Inboxy, provided that your rights under the Terms, including our commitments about your content, are not reduced as a result. We will notify you of any such transfer. Subject to this section, the Terms bind and benefit the parties and their permitted successors and assigns.
27. Force majeure
We will not be liable for any delay or failure to perform our obligations caused by events beyond our reasonable control, including natural disasters, epidemics, war, terrorism, civil unrest, labour disputes, government action, failures or outages of the internet, power, hosting or telecommunications providers, cyber-attacks that could not reasonably have been prevented, or the acts, outages or policy changes of third-party services. We will use reasonable efforts to minimise the effects of such events and resume performance as soon as practicable.
28. No waiver
If we do not enforce a provision of the Terms, or delay in doing so, that does not waive our right to enforce it later. A waiver is effective only if it is in writing and signed by us, and only for the specific instance and purpose for which it is given.
29. Notices
We may give you notices by email to the address associated with your account, by notices in the Apps, or by posting on our website where the notice is of general application. Notices by email are treated as received 24 hours after sending, unless we receive a delivery failure. You must give legal notices to us by email to [email protected], with a copy by post or courier to [Nexlla Creative Agency — registered legal name], [Registered address — street, building, city, Emirate, United Arab Emirates] where you are serving formal legal process. Keep your account email address up to date so that you receive our notices.
30. Language
The Terms are written in English. We may provide translations for convenience; if there is any inconsistency between the English version and a translation, the English version prevails, except where mandatory law requires otherwise. Where a court or authority requires an Arabic translation of the Terms, the parties will cooperate to provide one.
